ODS India offers the following services, subject to individual project agreements:

• UI/UX Design — user interface design, wireframing, prototyping, and user experience research.
• AI Automation Solutions — custom AI chatbots, workflow automation, and intelligent system integration.
• Website Management — ongoing maintenance, security updates, content management, and technical support.
• Consulting Services — technical strategy, architecture planning, and digital advisory.

The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate project agreement or proposal provided before work begins.

3. Client Responsibilities

To ensure successful project delivery, clients agree to:

• Provide accurate, complete, and timely information relevant to the project.
• Supply required materials — including content, images, brand assets, and access credentials — within agreed timeframes.
• Maintain timely communication and provide feedback during project milestones.
• Review and approve deliverables promptly to avoid project delays.

ODS India is not liable for delays caused by late or incomplete client responses.

4. Payments

Pricing displayed on the ODS India website is for informational purposes and may be updated at any time. The prices shown may include estimated local currency conversions for convenience.

Final project quotes are provided in a formal proposal before any work begins. Payment terms — including amounts, milestones, due dates, and accepted methods — are outlined in the project agreement. All payments are due as specified in the agreement unless otherwise negotiated.

5. Intellectual Property

• Client deliverables: Upon full payment, clients own the final deliverables created specifically for their project, including design files and custom code, unless otherwise agreed in writing.
• ODS India property: ODS India retains all rights to its internal tools, frameworks, templates, libraries, and proprietary systems used in the development process. Reuse of these components across projects is standard industry practice and does not affect client ownership of final deliverables.
• Third-party assets: Any third-party assets (icons, fonts, libraries, etc.) remain under their respective licenses.

6. Service Availability

ODS India makes reasonable efforts to maintain website uptime and service availability. However, we do not guarantee uninterrupted access to our website or hosted services. Factors outside our control — including but not limited to network outages, hardware failures, or cyber attacks — may cause temporary disruptions.

For clients with ongoing management contracts, specific uptime commitments and remedies are defined in the service agreement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, ODS India and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our website or services. This includes, but is not limited to, loss of revenue, loss of data, or business interruption.

Our total liability for any claim arising from these terms or our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

8. Privacy

Your use of ODS India's services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using our services, you consent to the data practices described in that policy.

9. Termination

ODS India reserves the right to terminate or suspend services, access, or project engagement immediately, without prior notice, under the following conditions:

• Misuse or abuse of our website, services, or team members.
• Violation of these Terms of Service or applicable laws.
• Engagement in illegal activity through or in connection with our services.
• Non-payment of agreed fees within the specified timeframe.

In the event of termination, the client remains responsible for payments for services already rendered.

This governing law clause may be customized in a written project agreement for clients based in other jurisdictions.
